Atlas Platforms Pty Ltd (“Atlas Platforms”, “the Company”, “we”, “us”, or “our”) is the entity responsible for the Strateji Platform and the EthosOne product suite developed on that platform. These Terms of Use govern your access to and use of our websites, applications, and associated online services (collectively, the “Site”).

1. Agreement to Terms:

These Terms of Use form a legally binding agreement between you (whether in your own capacity or on behalf of an organisation) and Atlas Platforms Pty Ltd, a company registered in Australia and operating from South Australia. By accessing or using the Site, you confirm you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, you must cease using the Site immediately. We may amend these Terms of Use from time to time. Any updated version will include a “Last Updated” date. Continued use of the Site constitutes acceptance of the revised Terms. The Site is not intended for access or use in jurisdictions where doing so would breach local laws. Users accessing the Site from outside Australia do so at their own risk and are responsible for compliance with local requirements. The Site is not designed to meet obligations under industry-specific regulations such as health, defence, or financial services regimes. You must not use the Site in ways that would require us to comply with such regulatory frameworks. The Site is intended for users aged 18 years and older. Persons under 18 must not use or register for the Site.

2. Intellectual Property Rights

All intellectual property rights in the Site, including software, code, content, designs, text, graphics, audio, video, interfaces, and trademarks (“Content” and “Marks”), are owned by or licensed to Atlas Platforms. Except as permitted under the Copyright Act 1968 (Cth) or as expressly authorised by us in writing, you must not copy, reproduce, publish, distribute, modify, or commercially exploit any part of the Site or its Content. You are granted a limited, revocable, non-exclusive licence to access and use the Site for personal or internal business purposes only.

3. User Presentations

By using the Site, you warrant that:

• You have legal capacity and agree to these Terms.
• You are not considered a minor in your jurisdiction.
• You will not access the Site through automated or non-human means (including bots or scripts).
• You will not use the Site for any unlawful or unauthorised purpose.
• Your use of the Site complies with all applicable Australian laws.

If any information you provide is incomplete or inaccurate, we may suspend or terminate your access to the Site.

4. Fees and Payment

We accept payment via EFT and major credit cards. You agree to provide accurate billing information and keep your payment details up to date. All prices are in Australian dollars (AUD) and are subject to GST under Australian law unless expressly stated otherwise. You authorise us to process charges for any purchases made on or through the Site. Where services renew on a recurring basis, you consent to automatic billing until you cancel. We reserve the right to correct pricing errors, update our pricing, or refuse orders at our discretion.

5. Cancellation

You may cancel a subscription by logging into your account or contacting us. Cancellation takes effect at the end of the current paid term. If you are dissatisfied with our services, you may contact us at connect@strateji.co.

6. Prohibited Activities

You must not use the Site for any purpose other than that for which it is made available. Prohibited conduct includes:

• Collecting data or content for database or directory creation.
• Attempting to gain unauthorised access to the Site or its systems.
• Impersonating another individual or misusing account credentials.
• Uploading harmful code or disrupting the Site’s operation.
• Using automated scraping, mining, or data-harvesting tools.
• Harassing or threatening our staff, agents, or users.
• Reverse-engineering, decompiling, or attempting to derive the Site’s source code.
• Using the Site to compete with us or for unauthorised commercial purposes.

7. User Generated Contributions

Where users are able to post or upload content (“Contributions”), you warrant that:

• You own or have rights to the Contribution.
• It does not infringe third-party rights.
• It does not contain unlawful, harmful, defamatory, or offensive material.
• It complies with all applicable Australian laws, including privacy and child protection laws.

We may remove, restrict, or disable access to Contributions at our discretion.

Contribution License

By submitting Contributions, you grant us a non-exclusive licence to use, store, and process them in connection with operating the Site. We do not claim ownership of your Contributions, but you remain responsible for them. You agree not to bring any claim against us relating to the use or handling of your Contributions.

8. Submissions

Any feedback, suggestions, ideas, or similar information you provide (“Submissions”) become our property. You waive any claim to compensation or attribution.

9. Government Rights

This section is rewritten to reflect Australian requirements: The Site and related services are supplied as commercial services. To the extent you are an Australian Government agency or contractor, use of the Site is governed solely by these Terms and by applicable Australian law. No additional rights are granted.

10. Site Management

We may monitor, modify, restrict, or remove access to any part of the Site at our discretion, and may take legal action where necessary.

11. Terms and Conditions

We may suspend or terminate your access without notice if you breach these Terms or applicable law. If terminated, you may not create a new account without our permission. We may pursue civil or criminal remedies where appropriate.

12. Modifications and Interruptions

We may amend or discontinue the Site at any time. We are not liable for unavailability, downtime, data loss, or interruptions. We are not obliged to maintain or update the Site except where required under Australian Consumer Law (ACL).

13. Governing Law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. You agree that the courts of South Australia have exclusive jurisdiction in relation to disputes.

14. Dispute Resolution

• Informal Resolution: Before commencing formal proceedings, the parties must attempt to resolve any dispute through good-faith negotiations for 30 days.
• Mediation or Arbitration: If a dispute cannot be resolved through negotiation, the parties may agree to mediation or arbitration administered by the Resolution Institute (Australia). Mediation or arbitration will take place in Adelaide, South Australia unless agreed otherwise.
• Court Proceedings: If mediation or arbitration is not pursued or fails to resolve the dispute, either party may commence proceedings in the courts of South Australia.
• Exceptions: This clause does not apply to disputes concerning intellectual property, misuse of confidential information, unauthorised access, or where urgent injunctive relief is sought.

15. Corrections

We may correct errors, inaccuracies, or omissions on the Site without notice.

16. Disclaimer

To the extent permitted by law, the Site is provided on an “as is” and “as available” basis. Nothing in this clause limits your rights under the Australian Consumer Law, which may provide guarantees that cannot be excluded. We do not warrant that the Site will be uninterrupted, error-free, secure, or accurate.

17. Limitation of Liability

To the maximum extent permitted by Australian law:

• We are not liable for indirect or consequential loss, loss of profits, loss of data, or business interruption.
• Our liability for any breach of an implied warranty or condition that cannot be excluded under the ACL is limited to the resupply of the services or refund of the cost of the services.

18. Idemnification

You indemnify us against claims, loss, or liability arising from:

• Your use of the Site
• Your breach of these Terms
• Your breach of law
• Your infringement of third-party rights
• Misuse of the Site causing harm to others

We retain user data in accordance with our Privacy Policy. You are responsible for maintaining backups of your own data. We are not liable for data loss except to the extent required under Australian law.

20. Electronic Communications and Signatures

By using the Site, you consent to electronic records, signatures, notifications, and communications. Electronic agreements have the same force as written agreements under Australian law, including the Electronic Transactions Act 1999 (Cth).

21. Miscellaneous

These Terms constitute the entire agreement between you and us. We may assign our rights without notice. If any clause is invalid, the remainder continues in effect. No relationship of partnership, employment, or agency is created by your use of the Site.
